These Terms and Conditions ("Terms") govern your access to and use of the energyOS platform, associated documentation, APIs, data outputs, analytical tools, and any related services (collectively, the "Service") provided by REDR Labs ("Company," "we," "us," or "our").

By accessing or using the Service in any form — including reading platform outputs, acting on analytical signals, uploading data, or engaging with the energyOS Chat interface — you ("User," "Client," or "you") acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of the Service.

Critical notice — read before proceeding

energyOS is an analytical intelligence tool. It is not a licensed financial advisor, broker-dealer, investment adviser, commodity trading adviser, or regulated financial service. Nothing produced by the Service constitutes financial, investment, trading, legal, tax, or regulatory advice of any kind. All decisions made in reliance on Service outputs are made entirely at your own risk. REDR Labs accepts no liability — direct, indirect, consequential, or otherwise — for any loss, damage, or legal exposure arising from your use of the Service or reliance on its outputs.

1. Acceptance of terms

  • 1.1 These Terms constitute a legally binding agreement between you and REDR Labs. Access to or use of the Service in any capacity — including evaluation, trial, or production use — constitutes full acceptance of these Terms without modification.
  • 1.2 If you are accessing the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" refers to both you individually and the entity you represent. The entity and you are jointly and severally liable for all obligations under these Terms.
  • 1.3 REDR Labs reserves the right to modify these Terms at any time. Continued use of the Service following notification of any modification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
  • 1.4 These Terms apply to all versions of the Service, including but not limited to energyOS Chat, the pipeline monitor, the data ingestion panel, the EOS Scalar Correlation engine, all API access, and all documentation provided by REDR Labs.

2. Nature of the service

The following characterizations define the legal and functional nature of energyOS. These definitions are material to the liability limitations set out in Section 4.

  • 2.1 Analytical tool only. The Service is an analytical intelligence platform. All outputs — including but not limited to market signals, regime assessments, fair value estimates, anomaly scores, correlation outputs, forecasts, and LLM-generated responses — are analytical interpretations only. They are not recommendations, instructions, directives, or advice of any kind.
  • 2.2 Not a regulated service. REDR Labs is not registered as an investment adviser, commodity trading adviser, broker-dealer, financial planner, or any other regulated financial professional in any jurisdiction. The Service does not constitute a regulated financial service and is not subject to financial services regulation in any form.
  • 2.3 Informational purpose only. All data, outputs, scores, signals, correlations, forecasts, and interpretations provided by the Service are for informational and analytical purposes only. They do not constitute a basis for any trade, investment, operational, or regulatory decision. Any decision made by the User remains entirely the User's own responsibility.
  • 2.4 Data recency and availability. The Service does not provide real-time or market data. All signals reflect data as of the most recent completed ingestion cycle. Freshness timestamps are provided but are not guaranteed to reflect current market conditions. REDR Labs makes no representation that data is current, complete, or accurate at any given moment.
  • 2.5 Third-party data dependency. The Service ingests data from third-party sources including market data providers, government agencies, satellite imagery providers, and news APIs. REDR Labs does not control the accuracy, completeness, timeliness, or availability of third-party data and accepts no liability for any deficiencies in such data or their downstream effect on Service outputs.
  • 2.6 No guarantee of accuracy. Market intelligence, model outputs, and analytical signals are inherently uncertain. energyOS makes probabilistic assessments based on available data and machine learning inference. No output produced by the Service is guaranteed to be accurate, complete, or fit for any particular purpose. Historical performance of any model output does not guarantee future accuracy.

3. No financial, investment, or trading advice

energyOS does not provide financial advice, investment advice, trading advice, tax advice, legal advice, or any other form of professional advice regulated by any authority in any jurisdiction.

All outputs from the Service — including fair value estimates, regime assessments, anomaly flags, directional signals, correlation scores, stress probabilities, and LLM-generated analytical responses — are analytical outputs produced by automated systems. They reflect the interpretation of available data by machine learning models and language models, not the judgment of a licensed financial professional.

You acknowledge and agree that any trade, investment, operational, or financial decision you make — whether or not influenced by Service outputs — is made entirely at your own discretion and risk. REDR Labs has no involvement in, knowledge of, or responsibility for any such decision.

  • 3.1 No output of the Service constitutes a buy, sell, hold, or hedge recommendation for any financial instrument, commodity, derivative, or any other asset class.
  • 3.2 Users are solely responsible for independently verifying all Service outputs before taking any action. REDR Labs expressly recommends that all outputs be reviewed and validated by appropriately qualified professionals prior to use in any decision-making context.
  • 3.3 Past analytical accuracy of the Service — including any benchmark comparisons presented in documentation — does not constitute a representation of future accuracy, and shall not be relied upon as evidence of expected future performance.
  • 3.4 Users accessing the Service for the purpose of informing trading decisions, portfolio management, or risk assessment do so entirely at their own risk and subject to their own applicable regulatory obligations. REDR Labs accepts no responsibility for any regulatory breach arising from User reliance on Service outputs.

4. Limitation of liability

Liability cap — legally binding

To the maximum extent permitted by applicable law, REDR Labs, its officers, directors, employees, contractors, agents, partners, and affiliates shall have zero liability to you or any third party for any loss, damage, cost, or expense of any nature arising from or in connection with your use of the Service, regardless of the cause, legal theory, or foreseeability of such loss.

  • 4.1 Exclusion of all damages. REDR Labs shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including but not limited to: loss of profits, loss of revenue, loss of data, loss of business opportunity, trading losses, investment losses, financial penalties, regulatory fines, reputational harm, or any other commercial, economic, or financial loss, howsoever caused and whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise.
  • 4.2 Trading and investment losses. REDR Labs expressly excludes all liability for any trading losses, investment losses, hedging losses, margin calls, liquidations, or any other financial loss arising from any decision made in connection with Service outputs, whether or not those outputs were accurate, timely, or available.
  • 4.3 Operational decisions. REDR Labs expressly excludes all liability for any operational decision — including but not limited to dispatch decisions, grid management actions, pipeline nominations, storage scheduling, or physical commodity logistics — made in connection with Service outputs.
  • 4.4 Model error and inaccuracy. REDR Labs accepts no liability for any loss arising from inaccuracy, error, omission, bias, or failure of any machine learning model, language model, statistical model, or data processing function within the Service, including but not limited to fair value models, LSTM forecasters, regime detection algorithms, and the EOS Scalar Correlation engine.
  • 4.5 Service unavailability. REDR Labs accepts no liability for any loss arising from downtime, interruption, delay, degraded performance, or unavailability of the Service, whether planned or unplanned, including any resulting failure to execute time-sensitive market operations.
  • 4.6 Third-party data failure. REDR Labs accepts no liability for any loss caused by inaccurate, incomplete, delayed, or unavailable data from any third-party source, including market data providers, government agencies, satellite providers, news services, or any other upstream data supplier.
  • 4.7 Maximum aggregate liability. To the extent any liability of REDR Labs is not excluded by the foregoing provisions and is established by a court of competent jurisdiction, the maximum aggregate liability of REDR Labs to you for all claims in connection with the Service shall not exceed the total fees paid by you to REDR Labs in the three (3) calendar months immediately preceding the event giving rise to the claim.
  • 4.8 Essential basis of the agreement. You acknowledge that the limitations of liability set out in this Section 4 are a fundamental and essential basis of the bargain between you and REDR Labs, and that REDR Labs would not have entered into this agreement or provided access to the Service without these limitations.

5. AI, model output, and verification disclaimers

The Service relies on multiple machine learning models and large-language model components. The following disclaimers govern the known limitations of these systems and the User's obligations in relation to them.

  • 5.1 AI hallucination risk. Large language models, including those used within the energyOS intelligence layer, may generate outputs that are plausible in form but factually incorrect, misleading, incomplete, or inconsistent with the underlying data context. This is a known and unavoidable characteristic of current language model technology. REDR Labs accepts no liability for any loss arising from LLM-generated outputs, including outputs that appear confident, specific, or well-reasoned.
  • 5.2 Model limitations. All machine learning models within the Service — including but not limited to LSTM neural networks, bottleneck autoencoders, quantile gradient boosting models, and fair value regression models — are trained on historical data and operate under assumptions that may not hold in current or future market conditions. Model outputs should never be treated as definitive, guaranteed, or authoritative.
  • 5.3 Regime change and structural breaks. The Service is designed to detect regime shifts, but cannot guarantee detection of all structural market changes, novel conditions, or unprecedented events. In periods of extreme market dislocation, geopolitical crisis, or regulatory change, model outputs may be particularly unreliable. Users operating in high-stakes environments during such periods should apply heightened independent scrutiny to all Service outputs.
  • 5.4 Mandatory independent verification. All outputs from the Service must be independently verified before being relied upon for any purpose. Users must not treat any Service output as a substitute for independent analysis, professional judgment, or regulatory-compliant research. The obligation to verify rests entirely with the User.
  • 5.5 Adversarial inputs and prompt manipulation. The LLM layer may be susceptible to adversarial inputs, prompt injection, or manipulation through carefully crafted queries. REDR Labs does not guarantee the integrity of outputs generated in response to adversarial or unusual inputs. Users must exercise independent judgment when evaluating any output that appears anomalous, inconsistent with prior responses, or contrary to observable market conditions.
  • 5.6 No warranty of fitness. REDR Labs makes no warranty, express or implied, that any Service output is fit for any particular purpose, including trading, hedging, operational planning, regulatory reporting, or any other specific use case. All outputs are provided "as is" and "as available."
Verification obligation

energyOS is explicitly designed to be a primary analytical resource — not the sole basis for any decision. The platform's own documentation states this clearly. Users who treat Service outputs as determinative — without independent verification — do so in direct contravention of REDR Labs' stated usage guidance and at their own sole risk.

6. Data handling, security, and breach liability

  • 6.1 Infrastructure security. REDR Labs implements security controls across its AWS infrastructure, including configuration recording, continuous security monitoring, encryption in transit, identity governance, and audit logging. These controls are described in the platform documentation. However, no security infrastructure can guarantee absolute protection against all forms of attack, breach, or unauthorized access.
  • 6.2 In-memory processing. Uploaded data and session context are processed in-memory and are not written to persistent storage. Session data is discarded at session end. However, REDR Labs cannot guarantee that in-memory data is immune to interception, extraction, or exposure through vulnerabilities in underlying infrastructure, operating systems, or cloud provider systems beyond REDR Labs' direct control.
  • 6.3 No liability for data breach. REDR Labs accepts no liability for any loss, damage, cost, regulatory penalty, or reputational harm arising from unauthorized access to, theft of, exposure of, corruption of, or destruction of any User data, proprietary information, or session content, whether caused by external attack, hacking, insider threat, infrastructure failure, third-party service provider failure, software vulnerability, or any other means beyond REDR Labs' reasonable control.
  • 6.4 Third-party infrastructure. The Service operates on Amazon Web Services infrastructure. REDR Labs is not responsible for security incidents, outages, data loss, or unauthorized access arising from vulnerabilities or failures within AWS systems, adjacent cloud services, or any third-party technology provider.
  • 6.5 Force majeure — cyber events. REDR Labs shall not be liable for any failure or delay in performance of the Service, or any data loss or exposure, arising from events beyond its reasonable control, including but not limited to: cyberattacks, distributed denial-of-service attacks, state-sponsored intrusions, zero-day exploits, supply chain attacks on third-party providers, acts of God, pandemic, war, terrorism, government action, or telecommunications infrastructure failure.
  • 6.6 User data responsibility. Users are responsible for ensuring that any data uploaded to the Service does not include data that is subject to regulatory restrictions on transmission, storage, or processing — including but not limited to material non-public information (MNPI), personally identifiable information (PII) subject to GDPR, CCPA, or equivalent regulation, or data subject to export controls. REDR Labs accepts no liability for regulatory violations arising from User data uploads.
  • 6.7 User security obligations. Users are responsible for maintaining the security of their access credentials. Any unauthorized use of the Service that occurs through a User's credentials is the User's sole responsibility. REDR Labs shall not be liable for any loss or damage arising from unauthorized access to a User's account.
  • 6.8 No security warranty. REDR Labs provides security controls on a best-efforts basis. No warranty is made, express or implied, that the Service, its infrastructure, or any data transmitted to or from the Service is secure, protected from interception, or immune to breach. Users upload data and access the Service at their own risk.
Recommended practice

Users should avoid uploading data that includes material non-public information, personally identifiable information, or data subject to confidentiality obligations that would create legal exposure in the event of an unforeseeable security incident. REDR Labs' architecture minimizes data persistence, but no architecture eliminates risk entirely.

7. User obligations and acceptable use

  • 7.1 Users must not use the Service for any unlawful purpose, including but not limited to market manipulation, front-running on material non-public information, or any activity that violates applicable securities, commodities, or financial services law.
  • 7.2 Users must not attempt to reverse-engineer, extract, replicate, or misappropriate the Service's machine learning models, signal architecture, prompt design, or any proprietary analytical methodology.
  • 7.3 Users must not share access credentials with unauthorized parties or permit access to the Service by individuals or entities not covered by the applicable service agreement.
  • 7.4 Users must independently comply with all applicable laws, regulations, and professional standards governing their use of analytical intelligence tools, including any obligations under MiFID II, Dodd-Frank, CFTC regulations, NFA rules, or equivalent regulatory frameworks in their jurisdiction.
  • 7.5 Users are solely responsible for ensuring that their use of the Service — and any decisions made in connection with Service outputs — complies with all applicable regulatory requirements in their jurisdiction. REDR Labs provides no regulatory compliance guidance and accepts no liability for regulatory violations by Users.
  • 7.6 Users must not use Service outputs as the sole basis for any trading, investment, or operational decision. Independent verification and professional judgment are required at all times.

8. Indemnification

  • 8.1 You agree to indemnify, defend, and hold harmless REDR Labs and its officers, directors, employees, contractors, agents, licensors, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) any decision, trade, investment, or operational action you take in reliance on Service outputs; (d) any data you upload to the Service; (e) your violation of any applicable law or regulation; or (f) any claim by a third party arising from your use of the Service.
  • 8.2 This indemnification obligation survives termination of your access to the Service and these Terms.
  • 8.3 REDR Labs reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with REDR Labs in the defense of any such claim.

9. Intellectual property

  • 9.1 All intellectual property in the Service — including but not limited to machine learning models, signal architecture, prompt design, analytical methodologies, software, documentation, interface design, and brand assets — is owned exclusively by REDR Labs. No rights in any of the foregoing are transferred to Users under these Terms or any service agreement.
  • 9.2 Users are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for their internal business purposes during the term of their service agreement. This license does not include the right to sublicense, reproduce, distribute, or create derivative works based on the Service or its outputs.
  • 9.3 Service outputs generated during a User session may be used by the User for internal analytical purposes only. Outputs may not be redistributed, published, sold, licensed, or represented as independent research without the prior written consent of REDR Labs.
  • 9.4 Any feedback, suggestions, or improvements provided by Users to REDR Labs may be used by REDR Labs without restriction, compensation, or attribution. By providing feedback, you assign all rights in that feedback to REDR Labs.

10. Termination and suspension

  • 10.1 REDR Labs reserves the right to suspend or terminate any User's access to the Service at any time, with or without notice, for any reason, including but not limited to: breach of these Terms, non-payment, suspected fraudulent or unlawful use, or any other reason at REDR Labs' sole discretion.
  • 10.2 Upon termination of access, all licenses granted under these Terms immediately cease. Sections 3, 4, 5, 6, 8, 9, 11, and 12 of these Terms survive termination and remain in full force.
  • 10.3 REDR Labs shall not be liable to any User for any loss or damage resulting from suspension or termination of access, regardless of the reason for termination.

11. Governing law and dispute resolution

  • 11.1 These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
  • 11.2 Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days following written notice of the dispute. If not resolved through negotiation, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Delaware.
  • 11.3 Class action waiver. You waive any right to participate in a class action lawsuit or class-wide arbitration against REDR Labs. All claims must be brought individually. This waiver is a material condition of access to the Service.
  • 11.4 Nothing in this Section prevents REDR Labs from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property or confidential information.

12. Amendments and entire agreement

  • 12.1 REDR Labs may amend these Terms at any time by posting an updated version to this page. Amendments take effect upon posting. Continued use of the Service following any amendment constitutes acceptance of the revised Terms.
  • 12.2 These Terms, together with any executed service agreement between you and REDR Labs, constitute the entire agreement between the parties with respect to the Service and supersede all prior agreements, representations, and understandings.
  • 12.3 If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
  • 12.4 REDR Labs' failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision at a later time.
